    TERMS OF SERVICE

    General conditions governing the hiring of entertainment services with D Show Events.

    1. Acceptance of Terms

    By requesting a quote, booking, or hiring any service from D Show Events, you accept these terms and conditions. Each contracted service is formalized through an individual contract detailing the specific conditions of the event. These general terms apply to all our services and complement the specific contract for each reservation.

    2. Services Offered

    D Show Events offers a variety of entertainment and production services for events in Puerto Rico. The specific details of each service—including duration, equipment, assigned personnel, and technical requirements—are specified in the individual contract for each reservation.     3. Reservations

    To confirm a reservation, the following is required: • 50% deposit of the total service cost • Signature of the corresponding service contract • Confirmation of date, time, and event location The reservation is NOT considered confirmed until the deposit and signed contract are received. Requested dates are not guaranteed until this process is completed. The reservation deposit is non-refundable and is considered liquidated damages in case of cancellation.

    4. Payments

    • Deposit: 50% of total at time of booking • Balance: The remaining 50% must be paid before the start of service on the day of the event • Services will not begin until the balance is settled Accepted payment methods: • ATH Móvil Business (/DSHOWEVENTS) • Bank transfer / ACH / Zelle • Credit cards via Stripe (additional 3.5% charge) • Venmo (additional 3.5% charge) • Cash • Checks payable to D Show Events LLC Additional service hours (when available) must be paid before the extension.

    5. Cancellation Policy

    Client cancellations: • More than 30 days before: Loss of deposit only • 5-30 days before: 50% of total cost is charged • Less than 5 days (48+ hours): 75% of total cost is charged • Less than 48 hours or no-show: 100% of total cost is charged D Show Events cancellations: If D Show Events must cancel for extraordinary reasons, substitute personnel of equal caliber or a full refund of the deposit will be offered. All cancellations must be notified in writing (email or confirmed message) to be valid.

    6. Changes and Rescheduling

    Date change: • One (1) free date change with more than 30 days notice, subject to availability • Additional changes or with less than 30 days: $50 administrative fee • Same-day time changes: $100 fee • Only one rescheduling is allowed per contract Service changes: • Modifications to contracted services may affect the final price • Last-minute changes (less than 24 hours) may incur a $75 fee All changes must be confirmed in writing.

    7. Punctuality

    Punctuality is essential for both parties: On D Show Events' part: • We arrive with sufficient time for setup and testing as agreed in the contract • We maintain active communication about any eventuality On the client's part: • If the client does not comply with the stipulated time, the service may be reduced • Delays that completely prevent service delivery do not exempt from full payment • No refunds are offered for services not rendered due to client delays

    8. Venue Technical Requirements

    The client must guarantee: Electricity: • Access to 110V electrical outlets with adequate capacity (15-20 amps) • Outlets located at reasonable distance from the setup area • Dedicated circuits for high-consumption equipment Space and access: • Adequate area for equipment setup according to the contracted service • Free and safe access to the setup area with sufficient advance time • Information about venue restrictions (stairs, elevators, schedules) Parking: • Parking spaces for D Show Events personnel • Access permits required for venue entry The client is responsible for verifying all technical information at least 48 hours in advance.

    9. Outdoor Events

    For outdoor events, the client must provide: • Tent, canopy, or covered structure that completely covers the installation area • Lateral protection against wind and rain when necessary • Level surface with adequate drainage Adverse weather conditions: • In case of strong winds, heavy rain, or conditions that put equipment or personnel safety at risk, D Show Events may temporarily suspend the service • The client is responsible for equipment damage caused by exposure to weather elements when adequate protection is not provided D Show Events can provide a protective tent for an additional charge (check availability).

    10. Use of Images and Videos

    D Show Events staff content: D Show Events may use photographs and videos featuring its staff for promotional purposes on social media, portfolio, and marketing materials. Event content: The use of event images featuring the client or their guests requires express authorization, which is requested in the individual contract for each service. Client-generated content: The client and their guests may freely record and share during the event. We appreciate (but do not require) being tagged @dshowevents when posting.

    11. Safety and Conduct

    Staff safety: The safety of D Show Events staff is a priority. In any situation of harassment, hostility, threats, or danger, staff may withdraw without penalty or refund. Client responsibility: • Ensure a safe and professional work environment • Inappropriate behavior toward our staff will not be tolerated • The client is responsible for equipment damage caused by guests or misuse D Show Events reserves the right to refuse service to any person for inappropriate behavior.

    12. Limitation of Liability

    D Show Events shall not be liable for: • Damage caused by third parties during the event • Personal items lost, stolen, or damaged • Interruptions due to adverse weather conditions • Electrical or venue infrastructure failures • Delays caused by the client, venue, or external factors (traffic, etc.) • Technical problems from the venue or third-party providers D Show Events' total liability is limited to the amount paid for the contracted services. We are not responsible for indirect, incidental, or consequential damages.

    13. Indemnification

    The client agrees to hold D Show Events LLC harmless against any claim, loss, damage, or expense arising from: • Acts or omissions of the client, their guests, or staff • Breach of the client's obligations under the contract • Property damage or injuries occurring at the event venue (except due to direct negligence by D Show Events) The client shall assume legal expenses in third-party claims when the loss was not caused by D Show Events.

    14. Communications

    Official communication channels: • Email: info@dshowevents.com • WhatsApp/Phone: (787) 329-6680 All notifications, changes, cancellations, and agreements must be made through these channels to be valid. Complaint procedure: Any service issues must be communicated immediately to the on-site representative or the contact number. Complaints not communicated during the event will not serve as basis for subsequent claims.

    15. Text Messages (SMS)

    By requesting a quote and agreeing to receive text messages, you authorize D Show Events to send you SMS communications related to your event. Types of messages you may receive: • Appointment and reservation confirmations • Scheduled event reminders • Updates about your contracted services • Urgent communications related to your event Message frequency: Frequency varies based on your interactions. You will typically receive 1-5 messages per booked event. Costs: Standard message and data rates may apply according to your mobile carrier. Opt-out: You can unsubscribe from SMS at any time by replying STOP to any message. Reply HELP for assistance. Note: SMS opt-out does not affect other communication channels (email, calls) or your contracted services.

    Additional Terms

    Force Majeure

    Neither party shall be liable for non-compliance due to events beyond their control: hurricanes, earthquakes, pandemics, power outages, government restrictions, or other acts of God. The affected party will notify within 48 hours. Rescheduling or, if not possible, deposit refund minus incurred expenses will be offered.

    Confidentiality

    Both parties commit to maintaining the confidentiality of all sensitive and personal information. We will not disclose client information to third parties without prior consent, except as required by law.

    Applicable Law

    This agreement is governed by the laws of the Commonwealth of Puerto Rico. Any dispute will first be addressed through direct communication, then mediation, and finally before the courts of San Juan or Bayamón.

    Severability

    If any clause is declared null or invalid, the remaining clauses shall remain in full force and effect.

    Modifications

    D Show Events reserves the right to modify these terms. Changes will not affect reservations confirmed under previous terms. Modifications to individual contracts require written agreement from both parties.

    Complete Agreement

    These terms, together with the individual contract for each service, constitute the complete agreement between the parties and replace any prior agreement, oral or written.

    Note on Individual Contracts

    These general terms are complemented by the specific contract for each contracted service. The individual contract details the particular conditions of the event, including: specific equipment, schedules, venue technical requirements, and any additional agreements between the parties. In case of conflict, the conditions of the signed individual contract shall prevail.
